Terms and Conditions

1. Introduction and Agreement

These Terms and Conditions (“Terms”) govern your access to and use of the Match-Up website, mobile application, and all associated services (collectively, the “Services”) operated by Match-Up (“we”, “us”, “our”).

By registering for an account, accessing, or using our Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not use our Services.

These Terms constitute a legally binding agreement between you and Match-Up. We recommend you read them carefully before using the Services.

2. Eligibility

To use the Services, you must:

  • Be at least 18 years of age;
  • Have the legal capacity to enter into a binding contract under the laws of your jurisdiction;
  • Not be prohibited from using the Services under any applicable law; and
  • Not have previously been suspended or removed from the Services by us.

By using the Services, you represent and warrant that you meet all of the above eligibility requirements. If you do not meet these requirements, you must not use our Services. We reserve the right to request proof of age at any time and to suspend or terminate your account if we have reason to believe you do not meet these requirements.

3. Account Registration and Security

3.1 Creating an Account

To access most features of the Services, you will need to register for an account. When registering, you agree to:

  • Provide accurate, current, and complete information about yourself;
  • Maintain and promptly update your account information to keep it accurate, current, and complete;
  • Create only one account for your personal, non-commercial use; and
  • Not create an account on behalf of another person without their explicit consent.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account login credentials and for all activity that occurs under your account. You agree to:

  • Choose a strong and unique password;
  • Not share your password or account access with any other person; and
  • Notify us immediately at support@match-up.com if you become aware of any unauthorised use of your account or any other security breach.

We will not be liable for any loss or damage arising from your failure to comply with these security obligations.

4. Acceptable Use of the Services

4.1 Permitted Use

You may use the Services only for lawful purposes and in accordance with these Terms. The Services are intended for personal, non-commercial use to connect with other users.

4.2 Prohibited Conduct

You must not use the Services to:

  • Violate any applicable law or regulation in Australia, New Zealand, or any other jurisdiction;
  • Impersonate any person or entity, or misrepresent your identity, age, or affiliation with any person or organisation;
  • Post, upload, or transmit content that is false, misleading, defamatory, obscene, offensive, hateful, or discriminatory;
  • Harass, intimidate, stalk, bully, or threaten other users;
  • Solicit money or financial information from other users, or engage in any fraudulent activity;
  • Use the Services for commercial purposes, including advertising or promoting products or services, without our prior written consent;
  • Collect or harvest personal information about other users without their consent;
  • Distribute spam, chain letters, or unsolicited communications;
  • Attempt to gain unauthorised access to any part of the Services, other accounts, or any systems connected to the Services;
  • Use automated means (including bots, scrapers, or crawlers) to access or interact with the Services without our prior written consent;
  • Transmit any viruses, malware, or other harmful or destructive code; or
  • Engage in any conduct that restricts or inhibits any other person from using or enjoying the Services.

We reserve the right to determine, in our sole discretion, what constitutes a violation of these Terms, and to take appropriate action including immediate suspension or termination of your account.

5. User-Generated Content

5.1 Your Content

The Services allow you to post, submit, upload, and share content including photographs, biographical information, messages, and other material (“User Content”). You retain ownership of any intellectual property rights you hold in your User Content.

5.2 Licence to Match-Up

By submitting User Content to the Services, you grant Match-Up a non-exclusive, worldwide, royalty-free, sublicensable, and transferable licence to use, reproduce, modify, adapt, publish, translate, distribute, and display your User Content solely for the purposes of operating, improving, and promoting the Services.

This licence continues for as long as your User Content remains on the platform and terminates when your content is permanently deleted, subject to any copies made in the ordinary course of backup or caching operations.

5.3 Content Standards

You represent and warrant that your User Content:

  • Is accurate and not misleading;
  • Is your own original work, or you have all necessary rights and permissions to share it;
  • Does not infringe the intellectual property, privacy, or other rights of any third party;
  • Does not contain nudity, sexually explicit material, or graphic violence; and
  • Complies with all applicable laws and these Terms.

5.4 Content Moderation

We reserve the right, but are not obligated, to review, moderate, edit, or remove any User Content at any time and without notice if we consider it to be in violation of these Terms or otherwise objectionable. Removal of content does not constitute an admission of liability on our part.

6. Intellectual Property

All content, features, functionality, software, and materials comprising the Services — other than User Content — including but not limited to text, graphics, logos, icons, images, and the underlying code, are owned by or licenced to Match-Up and are protected by Australian and New Zealand copyright, trade mark, and other applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your personal, non-commercial use. You must not:

  • Copy, reproduce, modify, distribute, or create derivative works of any part of the Services;
  • Reverse engineer, decompile, or disassemble any software forming part of the Services; or
  • Remove or alter any copyright, trade mark, or other proprietary notices from the Services.

7. Subscriptions and Payments

7.1 Free and Paid Features

Match-Up may offer both free and paid subscription tiers. Access to certain features of the Services may require a paid subscription. The features available under each tier, and the applicable fees, are set out on our pricing page and may be updated from time to time.

7.2 Billing and Renewal

Paid subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). By providing payment details and purchasing a subscription, you authorise us to charge the applicable fee to your nominated payment method on each renewal date until you cancel.

All fees are displayed and charged in Australian dollars (AUD) for Australian users and New Zealand dollars (NZD) for New Zealand users, unless otherwise stated.

7.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access to paid features until that date. We do not provide refunds for partial billing periods, except as required by applicable consumer law.

7.4 Price Changes

We may change subscription fees from time to time. We will provide you with reasonable advance notice of any price change, and the new price will take effect at the start of your next billing period following the notice period. If you do not agree to the new price, you may cancel your subscription before the change takes effect.

8. Australian Consumer Law and New Zealand Consumer Guarantees

8.1 Australian Users

Our Services come with consumer guarantees under the Australian Consumer Law (ACL), being Schedule 2 of the Competition and Consumer Act 2010 (Cth), that cannot be excluded. Nothing in these Terms is intended to exclude, restrict, or modify any right or remedy you have under the ACL.

Where our Services are supplied as a consumer service under the ACL and we fail to meet a consumer guarantee, you may be entitled to a remedy. For major failures, you may be entitled to cancel the service and receive a refund. For minor failures, we may choose to remedy the failure within a reasonable time.

8.2 New Zealand Users

Our Services come with consumer guarantees under the Consumer Guarantees Act 1993 (NZ) that cannot be contracted out of where you are acting as a consumer. Nothing in these Terms limits any rights you have under New Zealand consumer protection legislation, including the Consumer Guarantees Act 1993 (NZ) and the Fair Trading Act 1986 (NZ).

9. Disclaimers and Limitation of Liability

9.1 Service Disclaimer

To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis without any warranty of any kind, whether express or implied. We do not warrant that:

  • The Services will be uninterrupted, error-free, or free from viruses or other harmful components;
  • The Services will meet your specific requirements or expectations; or
  • Any information obtained through the Services will be accurate or reliable.

9.2 User Interactions

Match-Up is a platform that facilitates connections between users. We do not conduct background checks on users and do not guarantee the accuracy of any user profile information. You are solely responsible for your interactions with other users. We strongly encourage you to exercise caution and good judgement when meeting or communicating with other users, particularly in person.

9.3 Limitation of Liability

To the maximum extent permitted by applicable law (including the ACL and the Consumer Guarantees Act 1993 (NZ)), Match-Up’s total liability to you for any claim arising out of or in connection with these Terms or the Services (whether in contract, tort, statute, or otherwise) is limited to the total fees paid by you to Match-Up in the three (3) months preceding the event giving rise to the claim, or AUD/NZD $100 (whichever is greater).

To the maximum extent permitted by law, we exclude all liability for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, even if we have been advised of the possibility of such damages.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

10. Third-Party Links and Services

The Services may contain links to third-party websites, services, or resources that are not owned or controlled by Match-Up. We have no control over and accept no responsibility for the content, privacy practices, or terms of any third-party services. We encourage you to review the terms and privacy policies of any third-party services you access through our platform.

11. Suspension and Termination

11.1 Termination by You

You may close your account at any time by following the account deletion process in your account settings or by contacting us. Upon closure, your profile will be removed from the platform, though certain information may be retained as required by law or for legitimate business purposes as described in our Privacy Policy.

11.2 Termination by Us

We may suspend or terminate your access to the Services, with or without notice, if:

  • You breach any provision of these Terms;
  • We are required to do so by law or regulatory authority;
  • We reasonably suspect fraudulent, abusive, or illegal activity on your account; or
  • We decide to discontinue or materially change the Services.

Upon termination of your account for breach, you must immediately cease all use of the Services. Termination does not limit any of our other rights or remedies at law or in equity.

12. Dispute Resolution

12.1 Contact Us First

If you have a concern or complaint about the Services, we encourage you to contact us first at support@match-up.com so that we can try to resolve the matter informally. We will acknowledge your complaint within 5 business days and aim to provide a substantive response within 30 days.

12.2 Governing Law — Australia

For users located in Australia, these Terms are governed by and construed in accordance with the laws of New South Wales, Australia. You agree to submit to the non-exclusive jurisdiction of the courts of New South Wales and the federal courts of Australia.

12.3 Governing Law — New Zealand

For users located in New Zealand, these Terms are governed by and construed in accordance with the laws of New Zealand. You agree to submit to the non-exclusive jurisdiction of the courts of New Zealand.

12.4 No Class Actions

To the extent permitted by law, you agree that any dispute will be conducted on an individual basis and not as part of a class, collective, or representative action.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes to our Services, legal requirements, or business practices. When we make material changes, we will notify you by email or by displaying a prominent notice within the Services at least 14 days before the changes take effect.

Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services before the changes take effect.

14. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Match-Up with respect to the Services and supersede all prior agreements and understandings.

Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights under these Terms without restriction.

Force Majeure: We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, acts of government, or failures of third-party infrastructure.
